  • Subscriptions refer to the services or access to the Service offered on a subscription basis.

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service.
  • Your Data means any financial data, invoices, vendor information, payment records, or other business information that You upload, submit, or otherwise make available through the Service.

User Accounts

When You create an Account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your Account on Our Service.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password.

Subscriptions

Subscription Period

The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis. At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it or the Company cancels it.

Subscription Cancellations

You may cancel Your Subscription renewal either through Your Account settings page or by contacting the Company. You will not receive a refund for the fees You already paid for Your current Subscription period.

Billing

You shall provide the Company with accurate and complete billing information.

Fee Changes

The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

Refunds

Except when required by law, paid Subscription fees are non-refundable.

Your Data and Financial Information

Data Ownership

You retain all ownership rights to Your Data. By using the Service, You grant the Company a limited license to access, process, and use Your Data solely for the purpose of providing and improving the Service.

Third-Party Integrations

The Service may integrate with third-party accounting software, banking systems, and other financial services. You authorize the Company to access and retrieve information from these third-party services on Your behalf.

Accuracy of Financial Data

You are solely responsible for the accuracy, quality, and legality of Your Data. The Company does not guarantee the accuracy of any data processed through the Service.

AI-Powered Features

The Service uses artificial intelligence and machine learning to automate accounts payable processes. While the Company strives to provide accurate recommendations, You acknowledge that AI-generated outputs may contain errors and should be reviewed before taking action. The Company is not liable for any decisions made based on AI-generated recommendations.

Data Security

The Company implements commercially reasonable security measures to protect Your Data.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors.

Your Feedback to Us

You assign all rights, title, and interest in any Feedback You provide the Company.

Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms of Service.

Upon termination, the Company will make Your Data available for export for a period of thirty (30) days.

Limitation of Liability

The entire liability of the Company under any provision of these Terms shall be limited to the amount actually paid by You through the Service during the twelve (12) months prior to the event giving rise to the liability, or one hundred U.S. dollars ($100).

The Company shall not be liable for any errors, inaccuracies, or omissions in any AI-generated recommendations, automated payment processing, or other outputs of the Service.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law.

Changes to These Terms of Service

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice.
